CLIENT TERMS & CONDITIONS.
By paying any part of an invoice raised by Cerys Price (Ces) of Inspired To Inspire Design / Creatively Minded
Design, the client is thus entering into a binding contract with Cerys Price. Below are the terms and conditions of this contract. The url for this page of terms and conditions is visible on my invoices and it is the responsibility of the client to be fully aware of the terms and conditions of the contract prior to making a payment at which point the client is agreeing to these terms and conditions and entering into a binding contract.
Cerys Price of Inspired To Inspire Design / Creatively Minded Design agrees to fulfil and deliver the service that is specified on the invoice and in relation to any specific brief specified in writing prior to the commencement of the project.
(as contracted) within a timescale that is reasonably practicable taking into account workload and estimated timescales / response times of the client / as quoted. There may be delays due to unforseen circumstances.
Artwork, once approved and created in final versions will be provided to the client in industry standard formats.
Design Use Copyright of artwork created is transferred to the client automatically upon the final contract payment being made. Cerys Price will always retain artistic copyright / intellectual property rights / intellectual copyright of the design meaning authority to use designs created for a client for the purpose of self promotion and a design portfolio. (There may be cases where Cerys Price agrees with the client not to publish or promote any artwork until a certain launch date. This must be requested and agreed with the client in writing prior to design creation).
Elements and ideas shown on mood boards and concept boards during the design process which are not used in that specific format for the final artwork chosen by the client, may be used in the future by the Cerys Rosanna Price as shapes and elements contained within other designs. The exact same design as chosen for final artwork by the client will never be re-sold to another client.
The client may use the purchased design for any purpose but may not claim to have created the design as this would breach intellectual copyright.
Once the artwork files have been transferred to the client either by email or via a dropbox link, Cerys Price is not obligated to hold files indefinitely in an archive or provide files to the client again at a later date.
Artwork files will be provided as flat non-editable files unless an extended contract fee / term for editable source files has been agreed upon and specified prior to invoice / contract.
“One round only” of tweaks / small amendments to any design created within the specifications of the brief is allowed within the agreed costs unless otherwise stated on the invoice / contract.
Payment terms are set out on the invoice which forms a contract between Cerys Price and the client. It is the responsibility of the client to adhere to payment terms.
In the case of fees due in one payment, these fees stated will either be due within the period of time stated on the invoice or within a default 7 days of the invoice date if a specific amount of days is not indicated, or typically, prior to the start of design work unless otherwise agreed as a good will gesture. Once design work has been commenced at the request (via email, phone, zoom, social media message or other means) of the client this contract is binding.
In the case of a full payment or split payment option, payments must be made on time and clear with Cerys Price by bank transfer or paypal (unless otherwise agreed) on the date specified on the invoice. It is the clients responsibility to ensure instalment payments are made by the specified due dates. If the client fails to make an instalment payment or a payment in full if due, for whatever reason, late payment charges may be incurred. There is a 7 day discretionary grace period after the full payment if due or instalment payment is missed in which Cerys Price gives the client the opportunity to explain the reason for the missed payment and negotiate payment terms. Cerys Price may attempt to contact the client to discuss this issue however the responsibility to fulfil payments as per contract terms remains with the client. If the payment has not been brought up to date after 7 days a mandatory £15 late payment fee will be added to the invoice. For every 7 day period a contracted instalment payment remains unpaid an additional £15 late payment fee may be added to the outstanding balance at the discretion of Cerys Price. NOTE: If the client is having trouble paying due to circumstances beyond their control Cerys Price is happy to discuss these issues and re-negotiate mutually beneficial payment terms. If a payment is missed and not adhered to within 14 days or split payments are missed on more than one occasion, any remaining design work may be witheld / not completed until the contract is paid in full.
Payment is accepted by bank transfer or paypal friends and family payment unless otherwise stated. If you wish to use paypal goods and services payment method then I ask that you tell me this before making a payment as I will need to add a small admin fee to your invoice to cover the costs of the paypal business transaction so that I still receive the full design fee for the service you are purchasing. This is clearly stated on my invoice.
Making a change to a long term (6 months or more) contract: If the client takes out a contract for an agreed
amount of design time, to be paid by instalments of 6, 12 or 24 months split payment, the fees for design time
‘per hour’ will reflect a discount given for the over-all amount of the contract. If the client wishes to end the
contract early before the full amount of it’s stated time then the fees will be reverted back to the current
advertised rate per hour for live design (see www.inspiredtoinspire.co.uk). The cost per hour with regard to the
actual amount of hours now required under the revised contract will be recalculated and any balance will be due
immediately as a termination of contract fee. Alternatively if no design time has actually been used from the
contract, Cerys Price may offer the client a discretionery ‘buy out’ amount to end the contract early and design
services to the value of the fees paid will be available for the client to claim use of within the timespan of the
oiginal contract.
By failing to pay any part of the contract balance including late payment fees, the client is in breach of contract
and full Copyright of all artwork created remains with Cerys Price until such a time when the issue is resolved. In
the case of a breach of contract, all use of artwork created is prohibited pending the transfer of copyright once
the outstanding balance is cleared.

“Change Of Mind”: If the client decides they no longer want the purchased service after a payment has been made and thus after a contract has been entered into, the fees for the contracted service will still be due in full as per the original agreement however any remaining design time or any part of the service that has not yet been used, will be calculated as a design credit and may be held with me as a design credit that can be transferred to and used to purchase any other design service I offer at any point in the future. I do not offer refunds but am happy to transfer any unused design credit to any other design service I offer with no time limit on when the credit must be used by.

In most cases the only data held is your name and email address as provided by you and the artwork I have
created for you in fulfilment of a contract between us.

Data Storage : Inspired to Inspire
If you have purchased goods or services, for the purpose of fulfilling the contract then the data you provided
and any designs I created in relation to you or your business will be held in storage on dropbox for an unlimited
period of time for the purpose of record keeping and for my use in showing examples of my design work (in
relation to my intellectual / artistic copyright of the designs) any portfolio or marketing online or offline. By
purchasing, applying or opting in you give express and full permission for me to hold this data on dropbox. If you
specifically do not wish for me to hold your data in this way for this purpose please discuss this with me PRIOR
TO opting in or purchasing as my terms and conditions specify that I will always hold intellectual copyright of
any designs created and thus have express right to hold the designs created for the purpose of record keeping
and self promotion.
All clients will automatically be added to my monthly newsletter subscription list under the legitimate interest
specification. My monthly newsletter will include offers, articles, tips and links to features on my website. The
email list will be held on my mailchimp account for this purpose. You can unsubscribe from this at any time or
contact me via ces@inspiredtoinspire.co.uk to request that I remove you from the email list.
